Allbites Platform Terms & Conditions

1. About these Terms

These Terms govern your use of the Allbites website and platform.

Allbites is currently a trading name used by Mike Norledge (“Allbites”, “we”, “us” or “our”).

By creating an account or using Allbites, you agree to these Terms.

Additional terms displayed for a particular market, booking, opportunity or service may also apply.

2. What Allbites does

Allbites is a platform connecting Space Owners, market operators, traders and shoppers.

Allbites provides technology and services that may enable users to:

  • List spaces and market opportunities;
  • Find market operators;
  • Discover market opportunities;
  • Create and manage markets;
  • Recruit traders;
  • Manage trader applications and waitlists;
  • Manage compliance information;
  • Book and pay for stalls;
  • Communicate with other users;
  • Discover markets and traders; and
  • Place pre-orders.

Unless expressly agreed otherwise, Allbites is not the operator of markets listed on the platform, the landlord or owner of listed spaces, or the trader selling products to shoppers.

3. Accounts

You must provide accurate, complete and current information when creating and maintaining an account.

You are responsible for:

  • Keeping your login credentials secure;
  • Activity carried out through your account;
  • Maintaining accurate profile information; and
  • Ensuring that you have authority to act for any business or organisation you represent.

You must notify us promptly if you believe your account has been compromised.

Part A — Space Owners

4. Listing an opportunity

Space Owners may submit spaces or existing market opportunities for consideration through Allbites.

Submission does not guarantee that:

  • Allbites will qualify or publish the opportunity;
  • An operator will apply;
  • A suitable operator will be identified; or
  • A market will launch.

Allbites may decline, pause or remove an opportunity where we reasonably consider it unsuitable.

5. Information provided by Space Owners

Space Owners are responsible for ensuring that information supplied about a location or opportunity is accurate to the best of their knowledge. This includes information concerning:

  • Ownership or authority;
  • Location;
  • Access;
  • Capacity;
  • Availability;
  • Utilities;
  • Existing uses;
  • Restrictions; and
  • Proposed commercial arrangements.

Listing an opportunity does not constitute a representation by Allbites that the site has all permissions necessary to operate a market.

6. Operator matching

Allbites may present an opportunity to suitable operators and facilitate introductions and discussions.

The Space Owner remains responsible for assessing whether an operator is suitable and for carrying out any due diligence it considers necessary.

Allbites may assist with assessment and introductions but does not guarantee the performance, financial standing or suitability of any operator.

7. Agreements between Space Owners and operators

Any lease, licence, concession, hire agreement or other arrangement for use of a space is between the Space Owner and operator unless Allbites expressly agrees otherwise in writing.

The parties are responsible for agreeing matters including:

  • Rent or hire charges;
  • Duration;
  • Termination;
  • Access;
  • Insurance;
  • Licences and permissions;
  • Utilities;
  • Cleaning;
  • Waste;
  • Security; and
  • Operational responsibilities.

8. Allbites fees for opportunities

There is no charge simply to submit a space for assessment.

Where Allbites provides operator sourcing, matching, introductions, activation or other services for which a fee applies, the applicable fee and payment terms will be disclosed and agreed before the relevant paid service proceeds.

9. Introductions and circumvention

Where Allbites introduces a Space Owner and operator in connection with a market opportunity, the parties must not deliberately structure or move the resulting transaction outside Allbites for the principal purpose of avoiding a fee that had already been disclosed and agreed as payable to Allbites for that introduction or service.

Where a fee has been expressly agreed in relation to an introduction, that agreed fee remains payable if the Space Owner or operator enters into the relevant arrangement as a result of that introduction within 12 months of the introduction, unless otherwise agreed in writing.

This provision does not prevent users from maintaining genuine pre-existing commercial relationships. If a party claims a relationship pre-dated an Allbites introduction, we may reasonably request evidence of that relationship.

Part B — Operators

10. Operator responsibilities

Operators are responsible for the markets they operate. Unless expressly agreed otherwise, this includes responsibility for:

  • Necessary permissions and licences;
  • Insurance;
  • Health and safety;
  • Site operations;
  • Market staffing;
  • Trader management;
  • Market rules;
  • Waste and cleanliness;
  • Emergency procedures;
  • Regulatory compliance; and
  • Compliance with any agreement with the Space Owner.

Allbites provides platform technology and support but does not assume the operator's legal or operational responsibilities merely because the market uses Allbites.

11. Creating markets

Operators may create market listings and specify information including:

  • Market location;
  • Dates and times;
  • Stall availability;
  • Product categories;
  • Pitch fees;
  • Booking frequency;
  • Market rules; and
  • Cancellation terms.

Operators are responsible for ensuring this information is accurate.

12. Trader applications

Operators decide whether to approve, reject or waitlist traders, subject to applicable law and the platform functionality available.

Allbites does not guarantee the suitability, quality, safety or commercial performance of a trader.

Operators should undertake whatever checks are appropriate for their market.

13. Trader documents

Allbites may allow traders to upload compliance documents and make relevant documents available to operators.

The platform assists with collecting and organising documentation but does not certify that a document is genuine, current, sufficient or legally adequate merely because it appears on Allbites.

Operators remain responsible for determining what documentation their market requires.

14. Operator subscriptions and platform fees

Where an operator uses a paid Allbites plan, the applicable subscription price will be displayed before purchase.

Allbites may also charge a platform fee on paid stall bookings. The current fee, where applicable, will be disclosed through the platform.

At present, Allbites' standard platform fee for paid stall bookings is 2%, unless a different fee has been agreed or displayed for the relevant service.

Stripe or other payment-processing fees may apply separately.

Part C — Traders

15. Trader profiles

Traders are responsible for ensuring their profile and business information is accurate. This includes:

  • Products and categories;
  • Photographs;
  • Contact details;
  • Trading information; and
  • Compliance documents.

Traders must not submit false, misleading or fraudulent information.

16. Applying for stalls

Submitting an application does not guarantee acceptance.

The relevant operator determines whether an application is approved, rejected or waitlisted.

A booking is not confirmed until any required approval and payment process has been completed.

17. Pitch fees

Pitch fees are set by the relevant market operator.

Allbites facilitates the booking and payment process but does not generally determine the underlying stall price.

Any applicable Allbites fees and Stripe processing arrangements will be shown or otherwise disclosed as appropriate.

18. Cancellations and refunds

Individual markets may have their own cancellation and refund policies.

Traders should review the applicable market terms before booking.

Where a refund is approved, it may be processed through Allbites and Stripe.

Payment-processing fees may not always be recoverable where permitted by law and the relevant payment-provider terms.

19. Trader responsibilities

Traders are responsible for:

  • Products and services they sell;
  • Appropriate insurance;
  • Licences and permissions;
  • Food safety and hygiene where relevant;
  • Product safety;
  • Allergen information;
  • Tax obligations;
  • Accuracy of their documentation;
  • Following market rules; and
  • Compliance with applicable law.

Part D — Shoppers and pre-orders

20. Discovering markets

Allbites provides information about markets and traders supplied by operators, traders and other sources.

We aim to keep information accurate but market dates, trader attendance, opening times and availability can change.

Users should check relevant information before making a journey where appropriate.

21. Pre-orders

Allbites may allow shoppers to order products from participating traders for collection at a market.

Unless expressly stated otherwise, the contract for the product is between the shopper and the trader selling it.

Allbites facilitates the transaction but is not the seller of the trader's product.

22. Trader responsibility for pre-orders

The trader is responsible for:

  • Product descriptions;
  • Prices;
  • Stock availability;
  • Product quality;
  • Food safety;
  • Allergen and ingredient information;
  • Preparing the order;
  • Collection arrangements;
  • Appropriate refunds; and
  • Compliance with consumer law.

Shoppers should contact the trader regarding product-specific questions.

Allbites may assist with disputes where appropriate but does not become the seller by doing so.

23. Allergies and dietary requirements

Food allergies can be serious.

Information displayed through Allbites is supplied by traders. Shoppers with allergies or dietary requirements should confirm relevant information directly with the trader before purchasing or consuming a product.

Traders remain responsible for providing legally required allergen and food information.

Part E — Payments and Stripe

24. Stripe

Allbites uses Stripe to provide payment-processing functionality.

Users receiving payments may be required to create or connect a Stripe account.

Payment processing services for connected users are provided by Stripe and are subject to Stripe's applicable agreements.

Stripe specifically requires platforms using Connect to have an agreement with connected accounts explaining how account data is used and what activities the platform may perform.

By using payment functionality through Allbites, you authorise Allbites to provide Stripe with information reasonably necessary to facilitate the relevant payment services and to receive transaction and account information necessary to operate Allbites.

25. Platform fees

Where Allbites charges a platform fee, application fee, subscription or commission, the applicable charge will be disclosed through Allbites or separately agreed.

Where permitted by the relevant payment arrangement, Allbites may instruct Stripe to deduct applicable Allbites fees from transaction proceeds.

Stripe's Connected Account Agreement expressly contemplates Stripe deducting both Stripe fees and platform-service fees specified by the platform from account balances in applicable arrangements.

26. Currency

Markets may operate in different currencies.

The currency applicable to a stall booking or other market transaction will normally be determined by the market.

Where a card, bank account or payout currency differs from the transaction currency, currency conversion or additional payment-provider charges may apply.

Allbites does not control exchange rates or charges imposed independently by a user's bank, card issuer or Stripe.

27. Payouts

Payout timing can depend on Stripe, connected-account status, banking arrangements, refunds, disputes, reserves and other payment-processing requirements.

Allbites does not guarantee that funds will reach a bank account by a particular time where the delay results from Stripe, a bank, compliance requirements or circumstances outside Allbites' reasonable control.

28. Chargebacks and payment disputes

Where a payment is disputed or reversed, Stripe's applicable procedures may apply.

The user responsible for the underlying product, booking or service may be responsible for amounts arising from refunds, disputes, chargebacks or related fees where permitted under the applicable payment arrangements.

Part F — Platform rules

29. Acceptable use

You must not use Allbites to:

  • Commit fraud;
  • Misrepresent your identity or business;
  • Upload unlawful or malicious content;
  • Harass other users;
  • Scrape or systematically extract platform data without permission;
  • Interfere with platform security;
  • Circumvent payment or fee arrangements in breach of these Terms;
  • Infringe intellectual-property rights; or
  • Carry out unlawful activity.

30. Content you upload

You retain ownership of content you upload to Allbites.

You grant Allbites a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, format and use that content as reasonably necessary to operate, promote and improve Allbites and the relevant market, trader or opportunity.

You must have the right to upload the content you provide.

31. Reviews

Reviews must reflect genuine experiences and must not contain unlawful, threatening, discriminatory, defamatory, fraudulent or otherwise prohibited material.

Allbites may remove or restrict reviews where reasonably necessary to enforce these Terms or applicable law.

32. Messaging

Messaging tools must be used for legitimate communication relating to markets, bookings, opportunities and Allbites services.

Spam, harassment and unlawful marketing are prohibited.

Part G — Availability and liability

33. Platform availability

We aim to keep Allbites available and reliable but cannot guarantee uninterrupted or error-free access.

We may modify, suspend or discontinue features where reasonably necessary.

34. No guarantee of opportunities or results

Allbites does not guarantee:

  • That a listed space will become a market;
  • That an operator will secure an opportunity;
  • That an operator will recruit a particular number of traders;
  • That a trader will receive bookings;
  • That a market will achieve particular footfall, revenue or profitability;
  • That a trader will achieve particular sales; or
  • That shopper pre-orders will reach any particular level.

Any projections, examples or market assessments are illustrative unless expressly stated otherwise.

35. Relationships between users

Allbites facilitates connections between independent users.

Unless expressly stated otherwise, we are not responsible for the acts or omissions of Space Owners, operators, traders, shoppers or other third parties.

Nothing in these Terms creates a partnership, employment relationship, agency or joint venture between Allbites and a user merely because they use the platform.

36. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where applicable.

Subject to those exceptions and applicable law, Allbites will not be responsible for indirect or consequential losses, loss of profits, loss of anticipated savings, loss of opportunity or loss arising from the independent acts or omissions of other platform users.

For business users, where permitted by law, Allbites' aggregate liability arising from use of a paid Allbites service will not exceed the greater of: (a) £500; or (b) the fees paid by that user to Allbites during the 12 months immediately preceding the event giving rise to the claim.

Part H — Termination

37. Closing your account

Users may close their account subject to outstanding bookings, transactions, payments, disputes and other obligations.

Closing an Allbites account does not automatically cancel obligations under separate agreements with Space Owners, operators, traders or Stripe.

38. Suspension or termination by Allbites

We may suspend, restrict or terminate an account where we reasonably believe:

  • These Terms have been materially breached;
  • Fraud or unlawful activity has occurred;
  • Other users or Allbites may be at risk;
  • Required information is materially inaccurate;
  • Fees remain unpaid;
  • Stripe or another payment provider requires action; or
  • Suspension is reasonably necessary to protect the platform.

Where appropriate, we will provide reasonable notice or an opportunity to resolve the issue.

Part I — General

39. Changes to these Terms

We may update these Terms as Allbites develops.

Material changes will be communicated where reasonably appropriate.

Continued use after updated Terms take effect constitutes acceptance where permitted by law.

40. Transfer of the Allbites business

Allbites may transfer its rights and obligations under these Terms to a company established to own or operate the Allbites business, or in connection with a sale, investment, restructuring or transfer of the business, provided this does not materially reduce users' rights.

41. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply.

42. No waiver

A failure by Allbites to enforce a provision immediately does not waive the right to enforce it later.

43. Governing law

These Terms are governed by the laws of England and Wales.

For business users, the courts of England and Wales will have exclusive jurisdiction, unless otherwise required by applicable law.

Consumers retain any mandatory rights regarding jurisdiction that apply to them.
